Terms of Service

Last updated

  • Quotes are free and bind neither of us until both sides accept them in writing.
  • Once you have paid in full, you own the custom work we create for you.
  • We work with care, but cannot guarantee business results such as revenue, leads or search rankings.
  • Your signed project agreement takes priority over these terms.
  • If you use LeanLift CMS, you keep ownership of your content, and section 18 covers your account and subscription.
  • If you use invoicing, CRM or payment features, you stay responsible for your invoices, taxes and customers. We are not your accountant, tax adviser or bank.

This summary is for convenience. The full text below is what applies.

These terms apply when you use leanlift.ai or hire LeanLift OÜ ("LeanLift", "we", "us") for design, development, hosting, support or automation services (the "Services"), or use our LeanLift CMS product. We are a private limited company registered in Estonia under registry code 17272033, at E. Vilde tee 91-63, 12911 Tallinn, Estonia. Our VAT number is EE103024488.

Sections 3 to 12, 14 and 16 apply only to Services. Sections 18 and 19 apply only to our software products. All other sections apply to everything. By creating a LeanLift CMS account or using the product, you agree to these terms.

1. Who our Services are for

Our Services are intended for businesses and people acting for their trade or profession. If you buy as a consumer, the rights that consumer law gives you still apply, and nothing in these terms limits them.

2. Using this website

The content on this website, including our blog, is general information and not professional advice. You agree not to use the site unlawfully, interfere with how it works, or try to access systems you are not authorised to access. We may change the site or take it offline at any time. Text, design and branding on the site belong to us or our licensors, and you need our permission to reuse them, except for normal sharing and quoting with attribution. Links to other websites are for convenience. We do not control those sites and are not responsible for their content or practices.

3. Quotes and project agreements

  • Quotes are free and not binding until accepted in writing. Unless a quote says otherwise, it is valid for 30 days.
  • Our contract with you starts when both sides accept a quote, statement of work or other written agreement (a "Project Agreement"). Email is enough.
  • If a Project Agreement conflicts with these terms, the Project Agreement applies. Your own terms apply only if we agree to them in writing.

4. Scope and changes

The Project Agreement sets out what is included. Work outside that scope is a change. We will tell you how a change affects price and timing, and begin it once you approve.

5. Your responsibilities

You agree to:

  • provide the information, content, feedback, decisions and access we need, on time;
  • make sure you have the rights to everything you give us, including text, images, data, code and account access;
  • review and test deliverables when we ask you to; and
  • keep your business, content and products lawful, including your own privacy notices, consumer terms and industry requirements, unless we have specifically agreed to help with them. We do not provide legal advice.

6. Existing code and AI-generated apps

When we take over an existing product, including one created with AI tools, our audit and estimates rely on what we can access and see at the time. Hidden problems may change the scope, and we will tell you if they do. We are not responsible for defects, security problems or data loss that existed before our work, except where we have agreed to fix them and failed to do so with reasonable care. Please keep your own backups until we confirm that a backup process is in place.

7. Fees and payment

  • Fees, milestones and payment dates are set out in the Project Agreement. Unless it says otherwise, invoices are due within 14 days.
  • VAT and similar taxes are added where they apply.
  • Third-party costs, such as domains, hosting, AI usage, paid software and app store fees, are yours to pay unless the Project Agreement includes them. They may change according to the provider's pricing.
  • If an invoice is overdue, we may charge late-payment interest as permitted by law and may pause work until it is paid.

8. Timelines

Timelines are good-faith estimates unless the Project Agreement states a fixed deadline. They depend on receiving your input on time and may move if the scope changes.

9. Ownership of the work

  • Your materials remain yours. You allow us to use them as needed to provide the Services.
  • Custom work: once you have paid for it in full, the economic rights in the custom code and designs we create for you transfer to you, to the extent the law allows.
  • Our existing tools: we keep ownership of the libraries, tools and know-how we had already, or that we develop for general use. Where they are part of your deliverables, you receive a perpetual, non-exclusive licence to use and modify them as part of that product.
  • Third-party and open-source components stay under their own licences.
  • Portfolio: we name you or show your project publicly only with your permission.

10. Hosting, support and third-party services

Hosting, maintenance and support are included only if the Project Agreement says so, and any response times or availability commitments must be stated there. Your products may depend on third-party services such as cloud platforms, payment providers, app stores and AI models. We do not control those services and are not responsible for their outages, price changes, policy decisions or rejections.

11. AI tools and subcontractors

We may use AI-assisted development tools and trusted subcontractors, and we remain responsible for the work we deliver. AI features in a product can produce incorrect output, so you are responsible for deciding where human review is needed once the product is in use. We will not use your confidential information to train public AI models.

12. Confidentiality

Each of us will keep the other's non-public information confidential, use it only for the project, and share it only with people who need it and are bound to protect it. This does not apply to information that is public, was already known, is independently developed, or must be disclosed by law. These duties continue after the project ends.

13. Personal data

Our Privacy Policy explains how we handle personal data as a controller. If we process personal data on your behalf, we will do so under a data processing agreement as required by Article 28 of the GDPR.

14. Quality and results

  • We provide the Services with reasonable skill and care.
  • If a deliverable does not materially match the agreed scope, tell us within 30 days of delivery, or any other period in the Project Agreement, and we will fix it at no extra charge. This does not cover issues caused by changes made by others or by third-party services.
  • Software can contain defects, and we do not promise that it will be error-free or uninterrupted.
  • We do not guarantee business results, including revenue, leads, conversions, search rankings, cost savings or app store approval. Anything we say about expected results or savings is an estimate.
  • This website is provided as is. Apart from what these terms and the Project Agreement state, and to the extent the law allows, we give no other warranties.

15. Liability

  • Nothing in these terms limits liability for intentional breach, gross negligence, death or personal injury, or any other liability that the law does not allow us to limit.
  • Otherwise, neither of us is liable for lost profits, lost revenue, lost business, lost goodwill, lost data or indirect or consequential loss.
  • Otherwise, our total liability for a project is limited to the fees you paid us for that project in the 12 months before the event that caused the claim.
  • This section does not limit your obligation to pay fees that are due.

16. Ending a project

  • Either of us may end a project as the Project Agreement allows, or immediately by written notice if the other commits a material breach and does not fix it within 14 days of being asked to.
  • When a project ends, you pay for work done and non-cancellable costs incurred up to that date. Once those are paid, we hand over the completed work you have paid for and any access details we hold.
  • Sections that are meant to continue, such as ownership, confidentiality, liability and governing law, stay in force.

17. Events outside our control

Neither of us is responsible for a delay or failure caused by events beyond reasonable control, such as major outages, natural disasters or government action. This does not excuse payment of fees already due.

18. LeanLift CMS

Your account

  • You must be at least 16 years old to use LeanLift CMS.
  • Keep your account information accurate and up to date, and keep your login details secure. Do not share your password, and tell us promptly if you suspect unauthorised use. You are responsible for activity under your account.
  • Do not use a username or workspace name that impersonates someone, infringes another person's rights or is offensive.

Your content

  • You keep ownership of the content you create or upload. You are responsible for it being lawful and accurate, and you confirm that you have the rights to it.
  • You give us a non-exclusive, worldwide licence to host, display and process your content as needed to operate the product.
  • We keep all rights in our software and trademarks.

Plans and payment

  • Some features require a paid plan, billed in advance each month or year as you choose. Payments are handled by third-party providers such as Polar, and we do not store your card details.
  • Paid plans renew automatically at the end of each billing period until you cancel. You authorise us and our payment provider to charge your chosen payment method for each renewal, and you agree to keep your billing details accurate. You can cancel in your billing settings, where available, or by contacting support. Cancelling takes effect at the end of the period you have paid for.
  • Fees are non-refundable, except where the law requires a refund.
  • If a payment fails, we may suspend or downgrade your access until it is resolved.
  • We will give reasonable notice before changing our prices. New prices apply from your next billing period, and you can cancel before then if you do not accept them.

Acceptable use

You agree not to use the product unlawfully, upload malware or harmful content, infringe other people's rights, or try to gain unauthorised access to systems or data.

Availability

The product is provided "as is" and "as available". We do not guarantee uninterrupted uptime or that it will be error-free, and we may change, suspend or discontinue it.

Responsibility and liability

If you use the product for business, you agree to cover claims, damages and expenses arising from your use of the product, your content, or your breach of these terms. Subject to section 15, our total liability for any claim about the product is limited to the amount you paid us in the 12 months before the claim.

Ending your use

You can stop using the product at any time. We may suspend or end your account if you breach these terms or misuse the product. When that happens your access ends, while sections that are meant to continue, such as ownership and liability, stay in force.

19. Invoicing, CRM, payments and financial features

This section applies if you use invoicing, customer management, bank connection, transaction, payment, accounting or similar features in one of our software products. You must be at least 18 years old to use them.

Not professional advice

We are not an accountant, tax adviser, financial adviser or law firm. These features and anything they generate, including AI suggestions, categories, reports and forecasts, are tools and general information. You are responsible for your financial decisions and for meeting your tax, accounting and reporting obligations. Check anything important with a qualified professional.

Invoices

You are responsible for what your invoices and payment requests say, and for their tax treatment, numbering, format, record keeping and legal compliance in every country where you trade. We do not check them for compliance.

Payments

  • Payments are provided by licensed third-party providers under their own terms. You may need to accept those terms and pass their identity and business checks. Unless we clearly state otherwise, we are not a bank or payment institution and do not hold your funds.
  • We are not responsible for a provider's acts, availability, fees or decisions, including holding or refusing payments.
  • Payment disputes, chargebacks, failed payments, refunds and disagreements are between you and your customer, with your payment provider's processes applying.

Bank and financial data

Financial data can come from banks, data aggregators and other third parties, or from your own entries. We do not verify it and cannot promise that it is complete, accurate or up to date. Review it before you rely on it. When you connect an account, you confirm that you are authorised to do so. You can disconnect it at any time.

Accounting and other integrations

When you export data to an accounting or other third-party system, we only help transfer it. We do not control how that system treats the data. Review and approve exported data before using it for bookkeeping, reporting or tax filings.

Your customers and contacts

You are the controller of personal data you hold about your customers and contacts, and we process it on your behalf under our data processing terms. You are responsible for having a lawful basis to store and use that data, for giving them any required information, and for following direct marketing rules.

Prohibited financial activity

You agree not to use these features for fraud, money laundering, terrorist financing, sanctions evasion, deceptive invoicing or any other unlawful activity. We may suspend these features, and report activity where the law requires it, if we reasonably suspect a breach.

Responsibility for financial outcomes

Subject to section 15, we are not liable for tax penalties, reporting errors, or losses caused by inaccurate or delayed third-party data, or by not reviewing data before relying on it.

20. Reporting illegal content and copyright complaints

If you believe content hosted on our services is illegal or infringes your rights, email hello@leanlift.ai. Include where the content is located, why you believe it is illegal or infringing, your contact details, and a statement that your notice is made in good faith and is accurate. For a copyright complaint, also identify the protected work. We will review notices and may remove content or restrict access. Knowingly false notices may create legal liability.

21. Governing law and disputes

These terms and any Project Agreement are governed by the laws of the Republic of Estonia. We will first try to resolve any dispute through direct discussion. If that fails, the dispute goes to Harju County Court in Estonia. If you are a consumer, you also keep any mandatory protections and right to sue in your country of residence.

22. Other terms

You may not transfer a Project Agreement without our written consent. We may do so only as part of a reorganisation or sale of our business. If part of these terms is unenforceable, the rest still applies. If we do not enforce a right straight away, we do not lose it. These terms, with any Project Agreement, are the whole agreement between us on their subject, but this does not limit liability for fraud.

23. Changes to these terms

We may update these terms and will change the date at the top of this page. For our software products, we will tell you about material changes by email or in the product at least 30 days before they take effect. If you do not agree, you can stop using the product before then. Continuing to use it after they take effect means you accept them. A signed Project Agreement stays under the version in force when it was accepted, unless both of us agree otherwise.

24. Contact

Questions about these terms can be sent to hello@leanlift.ai. For our software products, you can also write to support@leanlift.ai.
